Introduction and Definitions
All visitors or subscribers to this site are considered Users ("Users") and must carefully read this User Agreement before registering to visit, use or subscribe to this site (also referred to as "portal"). This site or portal is titled the "Grand Rapids Business Journal Express" (also referred to as "GRBJEXPRESS"). It is licensed by the Grand Rapids Business Journal and Gemini Publications in Grand Rapids, MI. Your use of the GRBJEXPRESS site will constitute your acceptance with the terms of this agreement. Do not use this site if you cannot comply with this agreement. All materials published on the GRBJEXPRESS site including but not limited to news articles, press releases, photographs, images, illustrations, audio clips and video clips, software and databases, are also known as the ("Content"). All Content on the GRBJEXPRESS site is property of the Grand Rapids Business Journal and Gemini Publications, and is protected by copyright. You can access this User Agreement directly from Gemini Publications or by using the "Contact Us" links on the site.
Terms
- By completing the registration or subscription process you are indicating that you are 18 years or older and agree to be bound by all the terms of this User Agreement.
- Content is protected by copyright pursuant to U.S. and foreign laws, and owned or controlled by the Grand Rapids Business Journal and Gemini Publications or third party content provider. You shall abide by all additional copyright notices, information, or restrictions contained in any Content accessed through GRBJEXPRESS. You may not modify, publish, transmit, participate in the transfer or sale of, reproduce (except as provided in this User Agreement), create derivative works from, distribute, perform, display, or in any way exploit, any of the Content, software, materials, or GRBJEXPRESS in whole or in part. The contents of this site are intended for the personal, non-commercial use of its Users. Users may on occasion and irregular basis, disseminate an insubstantial portion of Content from the GRBJEXPRESS site for non-commercial use to a limited number of individuals provided Users adhere to copyright requirements and give credit to the original source plus indicate "Used with permission from Grand Rapids Business Journal/GRBJEXPRESS and Gemini Publications."
- You may download or copy the Content and other downloadable items displayed for personal use only, provided that you maintain all copyright and other notices contained in such Content. You shall not store any significant portion of any Content contained in GRBJEXPRESS in any form. Copying or storing of any Content for other than personal, noncommercial use is expressly prohibited.
- Possible future site enhancements including discussion forums, chat rooms and Internet Usenet news groups may be used only in a noncommercial manner. You shall not upload, post or otherwise publish on or over the GRBJEXPRESS any software, file, information, communication or other content which (i) violates or infringes upon the rights of any third party, (ii) constitutes a threat to or harassment of, or stalking of another, (iii) adversely affects the performance or availability of GRBJEXPRESS, (iv) contains any "time bombs," "worms," "viruses," "locks," "drop-dead devices," "Trojan horses," harmful component or corrupted data or other routines or components to disable software or data or perform any other actions which would impair the value or operation of GRBJEXPRESS, its host servers or the software or hardware of other content providers of the GRBJEXPRESS, (v) is libelous or otherwise violates any law or regulation, (vi) information that you know is false, or (vii) contains any solicitation of funds, advertising or solicitation for goods or services unless authorized by GRBJEXPRESS.
- Any information that you submit to the GRBJEXPRESS including press releases, personnel announcements, awards and your use of the discussion forums, Internet Usenet news groups or otherwise, may be edited, removed, modified, published, transmitted, uploaded and displayed by GRBJEXPRESS. There is no guarantee that any submission will be published.
- GRBJEXPRESS does not and cannot review every message posted by users in the future discussion forum or a future Internet Usenet news groups and is not responsible for any content of these messages. Notwithstanding the foregoing, GRBJEXPRESS reserves the right to delete, move, or edit messages that it, in its sole discretion, deems abusive, defamatory, obscene, in violation of copyright or trademark laws, or otherwise unacceptable. Users shall remain solely responsible for the content of their messages.
- You hereby indemnify, defend and hold GRBJEXPRESS, and all officers, directors, owners, agents, information providers, media partners, affiliates, licensors and licensees of GRBJEXPRESS including its content providers(collectively the "Indemnified Parties") harmless from and against any and all liability and costs incurred by the Indemnified Parties in connection with any claim arising out of any breach by you of this User Agreement, including, without limitation, reasonable attorneys' fees.
- GRBJEXPRESS makes no warranties, express or implied, as to the accuracy, reliability or completeness of any information or data displayed, uploaded or distributed through GRBJEXPRESS by any third party information provider, including but not limited to any information or data posted to the GRBJEXPRESS discussion forums (future) , Internet Usenet news groups(future). You acknowledge that your reliance on any such information or data is at your own risk.
- GRBJEXPRESS makes no warranty, express or implied, on behalf of any company featured in GRBJEXPRESS or any service or item offered, sold or otherwise provided to you as a result of your use of the GRBJEXPRESS. GRBJEXPRESS expressly disclaims any implied warranties of non-infringement, merchantability or fitness for a particular purpose with respect to such services or items.
- You may be able to access other Internet sites, not created by GRBJEXPRESS, through links from GRBJEXPRESS. The reliability, availability, legality, performance and other aspects of resources on these other Internet sites are beyond the control of GRBJEXPRESS, and GRBJEXPRESS makes no representations or warranties with respect to such sites.
- GRBJEXPRESS and all downloadable software contained or distributed therein are distributed on an "as is" basis without warranties of any kind, either express or implied, including, without limitation, warranties of title or non-infringement or implied warranties of merchantability or fitness for a particular purpose. GRBJEXPRESS makes no warranty that downloadable software is free from computer viruses. You should test any downloadable software with a reliable virus detection system prior to installation.
- You shall notify GRBJEXPRESS of any known or suspected unauthorized use of your user name or password, or any known or suspected breach of security, by sending an e-mail to circulation@grbj.com. You shall be responsible for maintaining the confidentiality of your password.
- You are responsible for all usage or activity on the GRBJEXPRESS through your user name and password, including use of your GRBJEXPRESS user name and password by any third party.
- GRBJEXPRESS reserves the right to send electronic mail to any and all Users for the purpose of informing them of changes or additions to the GRBJEXPRESS, or of any GRBJEXPRESS related products and services. The user may Opt Out, however, from these announcements at any time. To opt out, e-mail optout.circulation@grbj.com (or mail your Opt Out request to GRBJEXPRESS at 549 Ottawa NW, Suite 201,Grand Rapids, MI 49503), including the phrase "opt out" in the subject line. You must include your name, company, email address and username. Similarly, to edit registration and/or subscription information or cancel a subscription at any time, please send an email to circulation@grbj.com and indicate the desired changes.
- You may terminate your subscription at any time by sending an e-mail to circulation@grbj.com. Upon termination, you will receive an automated confirmation via e-mail that the request was received, and your access will be suspended to this site within 24 hours. GRBJEXPRESS may, in its sole discretion, terminate or suspend your access to all or part of GRBJEXPRESS for any reason, including, without limitation, breach of the User Agreement, or assignment of the User Agreement by you. If a balance is owed to the subscriber, an amount equal to the unfulfilled portion of the paid subscription will be remitted, usually within six weeks of written or e-mail cancellation notice.
- The GRBJEXPRESS may change, suspend or discontinue any aspect of the GRBJEXPRESS site at any time, including the availability of any feature, database, or content. GRBJEXPRESS may also impose limits on certain features and services or restrict users' access to parts or all of GRBJEXPRESS without notice or liability. Some content may be modified or not carried over from the print version of the Grand Rapids Business Journal to the GRBJEXPRESS.
- Subscription Fees and Payments: Under this agreement, you have a choice to continue and renew your subscription automatically at the then current price unless terminated by you (by email or letter) or by GRBJEXPRESS, or you may elect to continue and renew your subscription by responding to a renewal request. In either case, we will notify you when your subscription is approaching renewal so payment process can be arranged. You, and not GRBJEXPRESS, will be responsible for any amounts billed to your credit card by a third party, which were authorized by you. If GRBJEXPRESS and you or your employer have manually signed a paper version of the User Agreement governing access to and use of the GRBJEXPRESS site, some or all of the "Subscription Fees and Payments" terms may not apply to you.
- The terms of this User Agreement shall be construed in accordance with laws of the state of Michigan.
- GRBJEXPRESS reserves the right to modify these terms and conditions from time to time.
